- "Platform Services" shall refer to the online learning and job-matching instruments provided, including but not limited to, tutoring platforms, student management interfaces, and recruiter portals.
- "Staffing Services" shall denote the temporary-to-hire workforce solutions, encompassing candidate procurement, evaluation, placement, and associated services offered by VeroSkills Direct.
- "Client" shall be defined as an employer or hiring authority that utilizes Staffing Services.
- "Candidate" shall be defined as an individual who has registered for Staffing Services.
- "Conversion" shall signify the procedure wherein a Candidate transitions from temporary employment to permanent employment by the Client.

These Terms govern all interactions with VeroSkills, including:

- “Platform Services” (students, tutors, recruiters).
- "Staffing Services” under VeroSkills Direct (Clients and Candidates).

If you participate in both, you must comply with both sets of rules below.

- You are responsible for all activity under your account.
- You must be authorized to use any content you upload.
- We may suspend or terminate accounts that violate these Terms.

Your VeroSkills account carries your full responsibility, and you are accountable for all content published through your account on the VeroSkills platform. By registering and utilizing the VeroSkills websites, you explicitly consent to the 'Terms of Use.' We retain the prerogative to terminate your account access on our platform should we determine that your conduct infringes upon our established policies.

All code, screenshots, call recordings, messages, and job opportunities created by site users, including students, tutors, and recruiters, on VeroSkills are governed by the MIT license. This license grants others the liberty to employ these materials at their discretion.

It is incumbent upon you to ensure that you possess the requisite copyrights or rights to disseminate the content you choose to publish on VeroSkills. Furthermore, you are expressly prohibited from divulging private information of third parties without their explicit consent. Adding links to viruses or any other computer programming routines or engines that may cause harm is strictly prohibited.To maintain a fair and equitable learning environment, tutors are strictly prohibited from utilizing any automated tools or running scripts to refresh, view, or assign calls on the VeroSkills platform. Non-compliance may result in disciplinary action, including warnings, suspension, or termination of tutoring privileges.

Some aspects of our Service may be offered for a fee or other charges. By choosing to utilize the paid features of our Service, you hereby consent to the pricing and payment terms, which we may revise periodically. VeroSkills reserves the right to introduce new services with associated fees and charges, or modify the fees and charges for existing services, at its sole discretion and at any time. Any alterations to our pricing or payment terms will take effect in the billing cycle following notification as outlined in this document or through alternative means.

You retain the option to terminate your VeroSkills account at any time. However, it is important to note that we do not provide partial or pro-rata refunds for cancellations. In the event of account cancellation, it will become effective at the conclusion of the ongoing monthly or annual billing period. During this period, you will retain access to your subscription, but no refund will be issued.

Tutors operating on the VeroSkills platform are eligible to receive compensation for their services. If you qualify for payment for your time spent conducting tutoring calls with other users, we will facilitate this through a third-party service, Stripe. For individual tutoring sessions, a competitive rate of $50.00 per hour will be applied, and payments will be calculated on a minute-by-minute basis. In the case of group tutoring sessions, the rate increases to $65.00 per hour, with minute-by-minute payment calculation. When your earned balance reaches $25.00, VeroSkills will review your provided services and initiate the payout to your preferred payment method linked to your Stripe account.

Payment Structure
VeroSkills compensates tutors for their valuable services based on the agreed-upon payment structure. Tutors are entitled to fair compensation for their time and expertise provided during tutoring sessions.

Devices and Supervision
We require all tutors to be in one place and to use a laptop or desktop device during tutoring sessions and certification calls to ensure accurate and effective supervision of calls.

On-Topic Requirement
Tutors are expected to maintain a focus on the predetermined subject matter and learning objectives during tutoring sessions. It is essential that tutoring sessions align with the curriculum and goals set by VeroSkills.

Monitoring and Quality Assurance
To ensure the highest quality of educational experiences for our students, VeroSkills may occasionally monitor tutoring sessions for adherence to the on-topic requirement. These monitoring activities may include but are not limited to session recordings, feedback analysis, and direct observations.

Pay Adjustment
In cases where a tutoring session strays significantly off-topic, and it is determined by VeroSkills that the deviation is not in the best interest of the student's learning experience, VeroSkills reserves the right to adjust the tutor's compensation for that session accordingly.

Dispute Resolution
If a tutor believes that their compensation was adjusted unfairly due to an off-topic session, they may submit a dispute to VeroSkills. VeroSkills will review such disputes in a timely manner and make a determination based on the evidence provided.

2. Definition of Confidential Information
For the purposes of this NDA, "Confidential Information" refers to any data or information, oral or written, that is proprietary to VeroSkills and not generally known to the public. This includes, but is not limited to:
- Business plans, strategies, and financial information.
- Client and student lists, including their personal information.
- Trade secrets, know-how, and technical data.
- Software, databases, and related documentation.
- Marketing plans, pricing strategies, and advertising methods.
- Any other information that is identified as confidential by VeroSkills.

3. Obligations of Confidentiality
The Tutor agrees to:
- Maintain the confidentiality of all Confidential Information and not disclose it to any third party without the prior written consent of VeroSkills.
- Use the Confidential Information solely for the purpose of providing tutoring services through the VeroSkills platform and not for any other purpose.
- Take all reasonable steps to protect the confidentiality of the Confidential Information and prevent unauthorized access, disclosure, or use.

4. Exclusions from Confidential Information
Confidential Information does not include information that:
- Is or becomes publicly known through no wrongful act of the Tutor.
- Is received from a third party without breach of any confidentiality obligation.
- Is independently developed by the Tutor without use of or reference to VeroSkills' Confidential Information.

5. Duration of Confidentiality Obligations
The obligations of confidentiality set forth in this NDA shall continue for as long as the Tutor uses the VeroSkills platform and for a period of two (2) years after the termination of their tutoring services with VeroSkills.

6. Return or Destruction of Confidential InformationUpon termination of the Tutor's services with VeroSkills or upon request by VeroSkills, the Tutor shall promptly return or destroy all materials containing Confidential Information, including any copies thereof.

7. Remedies for BreachThe Tutor acknowledges that any breach of this NDA may cause irreparable harm to VeroSkills and agrees that in the event of such breach, VeroSkills shall be entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.

8. Governing LawThis NDA shall be governed by and construed in accordance with the laws of the jurisdiction in which VeroSkills is headquartered, without regard to its conflict of law principles.

9. Entire AgreementThis section constitutes the entire agreement between the Tutor and VeroSkills with respect to the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, with respect to such subject matter.

By using the VeroSkills platform, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions of this NDA.

VeroSkills may terminate the tutoring relationship with a tutor if there is a consistent pattern of off-topic sessions or a failure to comply with any requirements. Termination may result in the cessation of further tutoring opportunities and compensation.

- No Guarantee of Placement: We make no promise that you will receive any assignment or be converted to permanent employment.
- Temporary Employment: You are an at-will, temporary employee of VeroSkills Direct during assignments. Only upon Conversion do you become an employee of the Client.
- Background Checks & Compliance: All offers are conditioned on satisfactory background checks, drug screens or credential verifications, conducted by third-party providers.

- Engagement Fees: Clients agree to pay staffing fees as quoted in writing. All fees are non-refundable unless otherwise agreed in a signed placement agreement.
- Conversion Fees: If a Candidate is hired directly during or after the temp period, a one-time Conversion Fee (typically a percentage of first-year salary) applies.
- Non-Solicitation: During any assignment and for 12 months thereafter, Clients shall not directly employ or retain any Candidate introduced by VeroSkills Direct outside this Agreement, except through payment of the Conversion Fee.

- Invoices are due within 30 days of receipt.
- Late payments incur interest at 1.5% per month.
- We reserve the right to suspend further placements for overdue accounts.

All code, materials, and content on Platform Services remain the property of their respective owners and are licensed under MIT (where noted). Confidential information shared in Staffing Services remains our proprietary data.

- Candidate & Client Data: We handle personal data per our Privacy Policy. You agree not to disclose any proprietary or personal information you learn through the Services.
- Third-Party Tools: We may integrate with background-check, payroll, or communication providers. Each tool’s own terms apply.

- No Employment Guarantee: VeroSkills Direct does not guarantee placement, hours, or conversion.
- At-Will Temp Employment: Candidates are “at-will” temporary employees; VeroSkills Direct or the Client may end assignments at any time.
- Liability Cap: To the fullest extent permitted by law, VeroSkills’ liability is limited to fees paid in the 6 months prior to the claim.

You (Clients, Candidates, Tutors, or Students) agree to indemnify, defend, and hold harmless VeroSkills and its affiliates from any claims arising out of your breach of these Terms, your negligence, or your misuse of the Services.

We may update these Terms at any time by posting a revised version to our sites. Continued use after notice constitutes acceptance. We may terminate or suspend your access for any reason, without liability.

These Terms are governed by the laws of Alabama, without regard to conflict-of-law principles, and any dispute must be filed in the courts of Jefferson County, Alabama.
